Terms of service
Effective 2026-09-01
1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Northline Ops ("Northline", "we", "us") governing your access to and use of the Northline Ops platform, website, and related services (collectively, the "Service"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Service description
Northline Ops is a platform that helps small, project-based teams manage leads, proposals, contracts, projects, time tracking, invoicing, payments, and a private client portal from one workspace.
3. Account registration
- You must sign in using a Google account. We do not store passwords.
- You must be at least 18 years of age or the age of legal majority in your jurisdiction.
- You are responsible for all activity under your account and for maintaining the security of the Google account you use to sign in.
- If you create a workspace on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Free trial
New workspaces receive a 14-day free trial with full Professional-plan access. No payment method is required. On trial expiry the workspace becomes view-only. Existing data and export functionality remain accessible. You may subscribe to a paid plan at any time during or after the trial.
5. Subscriptions and billing
- Paid plans are billed monthly or annually in advance, in US Dollars, via Stripe internationally or Razorpay in India. Northline never sees or stores your payment card details.
- Upgrades take effect immediately with prorated billing for the remainder of the current period.
- Downgrades take effect at the end of the current billing period. If your usage exceeds the new plan limits, existing data is preserved but you cannot create new records beyond those limits until usage is below the cap.
- All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, GST, or withholding tax that applies in your jurisdiction.
6. Payment failure
If a payment fails, we retry on day 3 and day 7 with email and in-app notifications. If payment is not recovered within 14 days of the first failure, the workspace becomes past due and is subsequently treated as a cancellation (see Section 8).
7. Usage limits and overage
Each plan includes defined limits for team members, clients, projects, storage, documents, email sends, AI requests, integrations, and import/export operations. Limits apply whenever you add a new record.
- Starter: new records stop at the plan limit. No overage charges.
- Professional: warning at 80%, then new records stop at 100%. No overage charges.
- Agency: included capacity and any overage rates are agreed in your contract.
8. Cancellation and data retention
- Cancel from Account settings at any time. Access continues until the end of the paid billing period.
- After the billing period ends: 30 days of view-only grace with full export available.
- After the grace period: the workspace enters a 90-day retention window with no login access while data is held.
- After the retention window: data is scheduled for permanent deletion with a 7-day cancellation window.
- You may export all workspace data, including a complete backup, individual CSV files, or accounting formats, at any point before deletion.
9. Account deletion
Account deletion is a separate action from cancellation. Initiating account deletion triggers a 7-day reversal window. After 7 days, all personal data and workspace data are permanently removed.
10. Data ownership
You own everything you create in your workspace. We claim no intellectual property rights over your content. We process your data solely to operate the Service as described in our Data Processing Agreement.
11. Acceptable use
You agree not to:
- Use the Service for any illegal activity.
- Attempt to access another workspace's data.
- Attempt to bypass plan limits or usage restrictions.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to send unsolicited bulk communications to persons who have not consented to receive them.
- Reverse-engineer, decompile, or disassemble any part of the Service.
You are responsible for what your team members and portal clients do within your workspace.
12. Availability and support
We target 99.5% monthly uptime for the Service. Planned maintenance windows are announced in advance via the status page and in-app notifications. This is a target, not a guarantee. See Section 14 for liability limitations.
Support is available via email at support@northlineops.com with a target response time of 24 hours, or 4 hours for critical issues.
13. Third-party services
The Service uses third parties including Google, Stripe, Razorpay, Cloudflare, OneSignal, and Upstash. Their respective terms apply to your use of them. We are not liable for third-party outages beyond our reasonable operational response. A full list of sub-processors is maintained at Sub-processors.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- Our aggregate liability arising out of or related to these Terms is limited to the total fees you paid in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
15. Indemnification
You agree to indemnify Northline against claims arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
16. Modifications to terms
We may update these Terms from time to time. Material changes are communicated via in-app notification and email at least 30 days before the new effective date. Continued use of the Service after the effective date constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of India, without regard to conflict-of-law provisions. Any dispute that cannot be resolved informally will be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, India.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
19. Entire agreement
These Terms, together with the Privacy Policy, Data Processing Agreement, and Cookies Policy, constitute the entire agreement between you and Northline regarding the Service.
